GLOBLY TERMS & CONDITIONS

1. ACCEPTANCE OF TERMS

Welcome to Globly, a digital marketplace platform that connects individuals seeking Islamic religious tourism services (including Umrah, and Ziyarat) with independent, verified travel agents and service providers.

By accessing, browsing, registering on, or using our platform (website at www.globly.com and mobile application), you acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions (“Terms”). These Terms constitute a binding legal agreement between you (“User,” “you,” or “your”) and Globly Technologies Private Limited (“Globly,” “we,” “us,” or “our”).

IMPORTANT: Globly is a technology platform and marketplace only. We facilitate connections between customers and independent travel agents but do not provide travel services, arrange bookings, process payments, or act as a travel agent ourselves. All travel services are provided directly by independent third-party agents.

If you do not agree to these Terms, you must immediately discontinue use of our platform. Your continued use of Globly after any modifications to these Terms constitutes your acceptance of such changes.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

2.1 Age Requirements

  • Users must be at least 18 years of age to create an account and use our platform
  • Users under 18 years cannot independently register, browse packages, or communicate with agents
  • By creating an account, you represent that you meet the minimum age requirement

2.2 Guardian Responsibilities for Minor Travelers

Travel arrangements involving minor travelers (under 18 years) are permitted when coordinated through agents on our platform, subject to the following conditions:

  • The account holder must be a parent or legal guardian of the minor(s)
  • The guardian must provide explicit consent for the collection and use of the minor’s information
  • All communication, documentation, and legal responsibilities remain with the adult account holder
  • Minor travelers must be accompanied by adult travelers as determined by the travel agent’s policies
  • Guardians are solely responsible for ensuring compliance with all travel requirements for minors

2.3 Account Registration Requirements

By creating an account, you represent and warrant that:

  • All information provided is accurate, current, and complete
  • You will maintain and promptly update your information to keep it accurate
  • You are legally capable of entering into binding contracts
  • Your use of the platform complies with all applicable laws and regulations
  • You will not create multiple accounts or use another person’s account without permission
  • You are responsible for maintaining the confidentiality of your account credentials

3. USER RESPONSIBILITIES AND CONDUCT

3.1 General Obligations

All users must:

  • Provide truthful, accurate, and complete information when creating profiles and communicating with agents
  • Use the platform in accordance with its intended purpose as a connector between customers and agents
  • Respect the religious and cultural significance of Islamic pilgrimage services
  • Maintain confidentiality of account credentials and login information
  • Notify us immediately of any unauthorized account access or security breaches
  • Conduct independent verification of agent credentials before entering into any agreements
  • Comply with all applicable local, national, and international laws
  • Exercise due diligence when sharing personal or financial information with agents

3.2 Prohibited Activities

Users are strictly prohibited from:

  • Creating false, misleading, or fraudulent accounts or profiles
  • Engaging in fraudulent, deceptive, or unlawful activities of any kind
  • Harassing, threatening, defaming, or discriminating against other users, agents, or our staff
  • Attempting to circumvent platform security measures or verification processes
  • Posting or sharing inappropriate, offensive, defamatory, or culturally insensitive content
  • Using automated systems (bots, scrapers, crawlers) to access our platform without written permission
  • Interfering with, disrupting, or attempting to gain unauthorized access to our platform or systems
  • Impersonating any person or entity, or falsely representing affiliation with any organization
  • Collecting or harvesting personal information of other users without consent
  •  

3.3 Religious and Cultural Sensitivity

Given the sacred nature of Islamic pilgrimage, users must:

  • Demonstrate respect for Islamic customs, traditions, and religious practices
  • Use appropriate and respectful language when communicating through our platform
  • Refrain from content or behavior that could be considered religiously offensive or culturally insensitive
  • Understand that violations of religious or cultural sensitivity may result in immediate account suspension or termination

4. TRAVEL AGENT VERIFICATION, CONDUCT, AND OBLIGATIONS

4.1 Agent Registration and Verification

Travel agents seeking to register on Globly must submit comprehensive verification documentation, including:

  • Valid business registration certificates from relevant government authorities
  • Current tourism licenses, permits, and Ministry of Tourism certifications (where applicable)
  • Tax identification documents and compliance certificates
  • Professional liability insurance coverage proof (if available)
  • Bank account verification and authorized signatory details
  • Identity verification of company directors and authorized representatives

Important Disclaimer: Our verification process confirms that an agent has provided valid documentation at the time of registration. This verification does NOT constitute:

  • An endorsement or guarantee of service quality
  • A warranty of agent reliability, trustworthiness, or performance
  • Ongoing monitoring of agent compliance or credential validity
  • A guarantee that credentials remain current or have not been revoked
  •  
  • Users must independently verify agent credentials and conduct their own due diligence before engaging any agent’s services.

4.2 Agent Service Standards

Verified agents registered on our platform are expected to:

  • Maintain all required licenses, certifications, and legal authorizations
  • Provide accurate, complete, and up-to-date package information on their listings
  • Clearly display package inclusions, exclusions, terms, conditions, and cancellation policies
  • Honor all advertised prices and package details at the time of customer inquiry
  • Respond promptly and professionally to customer inquiries and requests
  • Maintain professional standards of customer service and ethical business practices
  • Comply with all applicable tourism, pilgrimage, and consumer protection regulations
  • Notify Globly promptly of any changes to their credentials, certifications, or business status

 

Note: While we maintain these standards, compliance and enforcement are the responsibility of the agents themselves. Globly cannot monitor all agent activities or guarantee adherence to these standards.

4.3 Package Listing Requirements

All package listings must include:

  • Detailed itinerary with service inclusions and exclusions clearly stated
  • Clear pricing structure, payment terms, and deposit requirements
  • Comprehensive cancellation, refund, and modification policy
  • Terms and conditions specific to the package
  • Emergency contact information and support availability
  • Relevant compliance certifications and authorization details (where applicable)

4.4 Agent Independence and Liability

CRITICAL: Travel agents registered on Globly are independent third-party businesses. They are NOT employees, partners, or representatives of Globly. Agents operate independently and are solely responsible for:

  • All aspects of service delivery, quality, and customer satisfaction
  • Negotiating and executing service agreements with customers
  • Payment collection, processing, and financial transactions
  • Compliance with all applicable tourism, pilgrimage, and consumer protection laws
  • Maintaining appropriate licenses, insurance coverage, and legal authorizations
  • Handling customer complaints, disputes, refunds, and service issues
  • Data protection and privacy compliance for customer information they collect
  • All liabilities, claims, and damages arising from their services

Globly’s verification of agent credentials does NOT make us liable for agent conduct, service quality, or any issues arising from customer-agent relationships.

5. PLATFORM ROLE AND MARKETPLACE NATURE

5.1 Globly as a Technology Platform and Facilitator

Globly operates exclusively as a digital marketplace and technology platform. Our role is strictly limited to:

  • Facilitating connections and introductions between customers and verified travel agents
  • Providing search, browsing, filtering, and comparison tools for exploring agent packages
  • Operating a chat platform for optional communication between customers and agents
  • Verifying agent business registration documents and credentials at the time of registration
  • Displaying agent-provided package information, descriptions, and pricing
  • Hosting user reviews and ratings (subject to our review policies)

 

Globly explicitly does NOT:

 

  • Provide travel services, arrange bookings, or act as a travel agent or tour operator
  • Process, collect, facilitate, or have any involvement in payment transactions between customers and agents
  • Receive any share, commission, or percentage of payments made between customers and agents
  • Negotiate prices, terms, or conditions between customers and agents
  • Control, regulate, or monitor deals, agreements, or contracts made between customers and agents
  • Monitor communications outside our platform (WhatsApp, phone calls, email, in-person meetings, etc.)
  • Guarantee the accuracy, completeness, or currency of agent-provided information
  • Assume responsibility for service delivery, quality, or customer satisfaction

5.2 Third-Party Service Relationships

The contractual relationship for all travel services exists exclusively and directly between users and travel agents. Globly is NOT a party to these service agreements, contracts, or transactions.

Users acknowledge and agree that:

  • All bookings, reservations, and service agreements are made directly with the travel agent
  • We do not guarantee the performance, quality, safety, legality, or delivery of any third-party services
  • Agent packages and services are provided independently of Globly
  • We have no control over agent conduct, business practices, or service standards
  • Customers and agents may communicate and transact through any means they choose, including outside our platform
  • We cannot regulate, monitor, or enforce agreements made between customers and agents
  •  

5.3 Platform as Information Display System Only

Globly functions as an information display and communication platform. All package details, pricing, terms, and conditions are provided by agents and displayed “as is” for informational purposes. We do not verify, endorse, or guarantee the accuracy of agent-provided content.

6. BOOKING PROCESS AND PAYMENT TERMS

6.1 Platform-Facilitated Connections

Globly facilitates initial connections between customers and agents through our platform. However, all subsequent booking arrangements, negotiations, and agreements occur directly between customers and agents.

The typical process includes:

  • Customers browse and search for packages on our platform
  • Customers may contact agents through our chat system or other means
  • Customers and agents communicate to discuss requirements, pricing, and terms
  • Customers and agents negotiate and finalize arrangements independently
  • All bookings, contracts, and confirmations are handled directly between customer and agent

Important: Customers and agents are free to communicate through any channel they choose (including WhatsApp, phone calls, email, in-person meetings) and are not required to use our platform’s chat system. Globly has no visibility into or control over communications outside our platform.

6.2 Payment Processing and Financial Transactions

CRITICAL PAYMENT TERMS:

  • All payments are made DIRECTLY between customers and travel agents outside our platform
  • Globly does NOT collect, process, receive, hold, or facilitate any customer payments
  • Globly receives NO share, commission, percentage, or payment of any kind from customer-agent transactions
  • Payment methods, amounts, schedules, and terms are determined solely by individual travel agents
  • Customers are responsible for all bank fees, transaction charges, currency conversion costs, and payment processing fees associated with payments to agents
  • Globly has no access to, visibility of, or involvement in payment transactions
  • Globly does not store, process, or have access to customer payment information or financial data
  •  

6.3 Payment Security and User Responsibility

Because all payment transactions occur directly between customers and agents:

  • Customers must independently verify the security and legitimacy of agent payment methods
  • Customers should request official receipts, invoices, and payment documentation from agents
  • Customers should verify agent bank account details and business registration before making payments
  • We strongly recommend using secure, traceable payment methods and avoiding cash transactions where possible
  • Customers should retain all payment records, receipts, and transaction documentation
  • Customers should be cautious of requests for unusual payment methods or off-platform transactions

 

Globly is NOT responsible for payment security, fraud, disputes, or financial losses related to customer-agent transactions.

 

  • Globly operates as a FREE platform for customers
  • We do NOT charge customers any service fees, platform usage fees, subscription fees, or commissions
  • Package prices displayed on our platform are determined solely by individual travel agents
  • All pricing, payment terms, deposit requirements, and fee structures are established directly between customers and agents
  • Any applicable taxes, government fees, visa fees, and additional charges are determined by travel agents and relevant authorities
  • Prices displayed may change; customers should confirm current pricing directly with agents

7. CANCELLATIONS, REFUNDS, AND MODIFICATIONS

7.1 Agent-Determined Policies

All cancellation, refund, and modification policies are determined solely by individual travel agents. Globly has NO involvement in these policies and cannot modify, enforce, or override them.

Users acknowledge that:

  • Each agent establishes their own cancellation and refund terms
  • Customers must review and understand agent-specific policies before making any commitments or payments
  • Cancellation policies may vary significantly between different agents and packages
  • Refund processing, timelines, and methods are managed entirely by agents
  • Globly has no authority to demand, facilitate, or guarantee refunds from agents
  • All disputes regarding cancellations and refunds must be resolved directly with the agent

7.2 Globly's Limited Role in Disputes

While Globly is NOT liable for cancellation policies, refund disputes, or payment issues, we may provide limited assistance:

  • Facilitating communication channels between customers and agents
  • Providing mediation support in cases of reported serious misconduct or fraud
  • Investigating complaints and taking appropriate action against agents who consistently violate platform policies
  • Removing agents from our platform for severe or repeated violations
  • Sharing information about consumer protection authorities or legal remedies where appropriate

However, Globly cannot compel agents to issue refunds, cannot guarantee dispute resolution outcomes, and is not responsible for financial losses resulting from customer-agent disputes.

7.3 Force Majeure and External Circumstances

Cancellations or modifications due to circumstances beyond reasonable control (including but not limited to natural disasters, pandemics, government restrictions, political unrest, health emergencies, or regulatory changes) are subject to individual agent policies and applicable laws.

Globly strongly recommends that all travelers:

  • Purchase comprehensive travel insurance covering cancellations, medical emergencies, and unforeseen events
  • Review force majeure clauses in agent contracts carefully
  • Understand their rights and remedies under applicable consumer protection laws
  • Verify agent insurance coverage and financial protection measures

8. INTELLECTUAL PROPERTY AND CONTENT USAGE

8.1 Globly's Intellectual Property

All content, features, and functionality on our platform, including but not limited to:

  • Website and mobile application design, layout, and user interface
  • Globly logos, trademarks, service marks, and branding materials
  • Software code, algorithms, databases, and technical systems
  • Original written content, descriptions, and platform documentation
  • Graphics, images, icons, and visual elements created by Globly

are owned by Globly Technologies Private Limited or our licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

8.2 Usage Restrictions

Users may not, without our prior written permission:

  • Copy, reproduce, distribute, republish, download, display, post, or transmit any content from our platform
  • Create derivative works or modifications based on our platform or content
  • Use our trademarks, logos, service marks, or branding materials
  • Reverse engineer, decompile, disassemble, or attempt to derive source code from our platform
  • Use automated systems, bots, or scrapers to extract, harvest, or collect content or data
  • Frame, mirror, or replicate any portion of our platform

8.3 User-Generated Content

By submitting content to our platform (including reviews, ratings, comments, images, feedback, or suggestions), you:

  • Grant Globly a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content
  • Represent and warrant that you own or have necessary rights to the submitted content
  • Agree that your content will not violate any third-party rights or applicable laws
  • Acknowledge that Globly may remove or refuse to post any content that violates these Terms or is deemed inappropriate

8.4 Agent Content and Listings

Travel agents retain ownership of their package descriptions, images, pricing information, and promotional materials. By listing content on our platform, agents grant Globly necessary licenses to display, reproduce, and distribute such content. Agents are solely responsible for ensuring they have appropriate rights to use all content they submit, including images, text, and multimedia materials.

9. PLATFORM MODIFICATIONS AND AVAILABILITY

9.1 Right to Modify Services

Globly reserves the right, at our sole discretion, to:

  • Modify, update, suspend, discontinue, or enhance any feature, functionality, or aspect of our platform
  • Change our technology infrastructure, user interface, design, and platform architecture
  • Modify our service offerings, business model, and operational procedures
  • Implement new policies, procedures, and quality standards
  • Add, remove, or modify agent verification requirements and listing criteria
  • Introduce new features, tools, or services

9.2 Notice of Changes

For significant platform changes affecting user experience or functionality, we will provide reasonable notice through:

  • User account dashboard notifications
  • Email notifications to registered users
  • Platform announcements and in-app messages
  • Website banner notices

Continued use of our platform after receiving notification of changes constitutes acceptance of those modifications

9.3 Platform Availability

While we strive to maintain consistent platform availability:

  • We do not guarantee uninterrupted, timely, secure, or error-free platform operation
  • Scheduled maintenance, updates, and upgrades may temporarily affect platform access
  • Emergency maintenance may be performed without advance notice
  • We are not liable for service interruptions, downtime, or technical issues arising from maintenance, technical problems, internet connectivity issues, or external factors beyond our control

10. ACCOUNT SUSPENSION AND TERMINATION

10.1 G10.1 Grounds for Suspension or Termination

Globly may suspend, restrict, or terminate user accounts immediately and without prior notice for:

  • Violation of these Terms & Conditions or any applicable policies
  • Fraudulent activity, attempted fraud, or providing false information
  • Harassment, threatening behavior, or discrimination toward other users, agents, or staff
  • Repeated complaints, disputes, or problematic behavior patterns
  • Violation of applicable laws, regulations, or legal requirements
  • Misuse of platform features, security vulnerabilities, or system exploits
  • Posting inappropriate, offensive, defamatory, or culturally insensitive content
  • Unauthorized commercial use or activity inconsistent with platform purposes
  • Inactivity for extended periods (subject to our account retention policies)

10.2 Termination Process and Appeals

  • Account termination may be immediate for serious violations such as fraud, security breaches, or illegal activity
  • For less severe violations, users may receive notice and an opportunity to respond before final termination
  • Terminated users may submit appeals through our support channels, which will be reviewed on a case-by-case basis
  • Upon termination, users immediately lose access to their account, saved information, and platform features
  • We reserve the right to permanently ban users and prevent creation of new accounts

10.3 Effect of Termination

  • Existing arrangements and communications with travel agents are NOT affected by account termination and remain subject to the agreements between customers and agents
  • Users remain responsible for any outstanding obligations, commitments, or liabilities
  • Terminated users may not create new accounts without our express written permission
  • Content submitted by terminated users may be retained as necessary for legal compliance, dispute resolution, or platform integrity

11. LIMITATION OF LIABILITY AND DISCLAIMERS

11.1 Platform as Connector Only - No Liability for Third-Party Services

GLOBLY OPERATES EXCLUSIVELY AS A TECHNOLOGY PLATFORM CONNECTING CUSTOMERS WITH INDEPENDENT TRAVEL AGENTS. WE EXPLICITLY DISCLAIM ALL LIABILITY FOR:

  • Quality, accuracy, safety, legality, or delivery of any travel services provided by third-party agents
  • Actions, omissions, misconduct, negligence, fraud, or illegal activities of travel agents or service providers
  • Payment transactions, disputes, collection issues, refund delays, or financial problems between customers and agents
  • Any disputes, disagreements, or conflicts between customers and agents
  • Travel-related issues including delays, cancellations, itinerary changes, or service failures
  • Loss, damage, theft, injury, illness, death, or any harm during travel or pilgrimage activities
  • Security, legitimacy, or reliability of payment methods used by travel agents
  • Accuracy, completeness, or currency of information provided by agents
  • Agent credentials, certifications, or legal compliance after initial verification
  • Communications or arrangements made outside our platform
  • Customer satisfaction, service expectations, or travel experiences
  • Force majeure events, natural disasters, pandemics, political unrest, or external circumstances

11.2 Service Disclaimers and "As Is" Provision

OUR PLATFORM IS PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, Globly disclaims all warranties including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding platform availability, reliability, accuracy, or error-free operation
  • Warranties that the platform will meet your requirements or expectations
  • Warranties regarding security, virus-free operation, or data integrity
  • Warranties regarding third-party content, links, services, or agent-provided information
  • Warranties regarding accuracy or reliability of user-generated content or reviews
  •  

11.3 Limitation of Damages and Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • GLOBLY’S TOTAL LIABILITY IS STRICTLY LIMITED TO DIRECT DAMAGES ARISING SOLELY FROM OUR PLATFORM’S TECHNICAL FUNCTIONALITY OR DATA HANDLING
  • WE ARE NOT LIABLE FOR ANY FINANCIAL LOSSES, PAYMENT DISPUTES, REFUND ISSUES, OR MONETARY DAMAGES ARISING FROM TRANSACTIONS OR RELATIONSHIPS BETWEEN CUSTOMERS AND AGENTS
  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND
  • This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise)
  • This limitation applies even if we have been advised of the possibility of such damages
  • In no event shall our total aggregate liability exceed the greater of (a) zero rupees or (b) the amount required by mandatory applicable law

11.4 User Assumption of Risk and Responsibility

BY USING OUR PLATFORM, USERS EXPLICITLY ACKNOWLEDGE AND ASSUME ALL RISKS ASSOCIATED WITH:

  • International travel, pilgrimage activities, and religious tourism
  • Financial transactions with third-party service providers
  • Reliance on agent-provided information, services, and representations
  • Use of online communication, booking, and marketplace platforms
  • Potential technical issues, platform limitations, or service interruptions
  • Security risks inherent in internet-based platforms
  • Interactions and agreements with independent third parties

 

Users are solely responsible for:

 

  • Verifying agent credentials, certifications, and business legitimacy independently
  • Reviewing and understanding all terms, conditions, and policies before making commitments
  • Obtaining appropriate travel insurance and taking necessary precautions
  • Ensuring payment security and maintaining transaction documentation
  • Making informed decisions and exercising reasonable caution
  •  

12. INDEMNIFICATION

Users agree to indemnify, defend, and hold harmless Globly Technologies Private Limited, its subsidiaries, affiliates, officers, directors, employees, consultants, agents, and representatives from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees and legal costs) arising from or related to:

  • Your use or misuse of our platform or services
  • Your violation of these Terms & Conditions or any applicable law or regulation
  • Your violation of any third-party rights, including intellectual property, privacy, or contractual rights
  • Content you submit, post, or transmit through our platform
  • Your interactions, agreements, or disputes with travel agents or other users
  • Your negligent or wrongful conduct
  • Any false, inaccurate, or misleading information you provide

This indemnification obligation survives termination of your account or these Terms

13. DISPUTE RESOLUTION AND GOVERNING LAW

13.1 Governing Law

13.2 Jurisdiction

Any disputes, claims, or legal proceedings arising from or relating to these Terms, your use of our platform, or your relationship with Globly shall be subject to the exclusive jurisdiction of the competent courts located in New Delhi, India. You irrevocably consent to the jurisdiction and venue of such courts.

13.3 Dispute Resolution Process

For disputes with travel agents: Users must attempt to resolve disputes directly with the relevant travel agent before pursuing legal action or involving third parties.

For disputes with Globly: Before initiating legal proceedings, users should contact our support team at support@globly.me to attempt good faith resolution of the dispute.

We encourage amicable resolution of disputes through negotiation and communication whenever possible.

13.4 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, users agree to resolve any disputes with Globly on an individual basis and expressly waive any right to participate in class action lawsuits, class-wide arbitration, or any other collective or representative proceedings. Each party may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any class, consolidated, or representative proceeding.

14. PRIVACY AND DATA PROTECTION

14.1 Privacy Policy Incorporation

Your privacy is important to us. Our collection, use, storage, sharing, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference and forms an integral part of our agreement with you.

By using our platform, you acknowledge that you have read, understood, and agree to our Privacy Policy.

14.2 Data Usage Consent

By using our platform, you expressly consent to:

  • Collection and processing of personal information as described in our Privacy Policy
  • Sharing necessary information with travel agents when you initiate contact or express interest in their services
  • Use of cookies, analytics tools, and similar technologies to enhance platform functionality and user experience
  • Communication of platform updates, notifications, and service-related messages

14.3 Data Security and Limitations

We implement appropriate technical and organizational measures to protect user data. However, no method of transmission over the internet or electronic storage is 100% secure. We cannot guarantee absolute security of information transmitted to or stored on our platform.

 

Important: Once information is shared with travel agents, it becomes subject to the agent’s own privacy practices and data protection measures. We are not responsible for how agents use, store, or protect information you provide to them directly.

15. MISCELLANEOUS PROVISIONS

15.1 Entire Agreement

These Terms & Conditions, together with our Privacy Policy and any additional terms, policies, or guidelines posted on our platform, constitute the entire agreement between you and Globly Technologies Private Limited concerning your use of our platform and supersede all prior or contemporaneous agreements, communications, and proposals (whether oral, written, or electronic) between you and us.

15.2 Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. 15.3 No Waiver

You may not assign, transfer, delegate, or sublicense your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this provision is void. We may freely assign, transfer, or delegate our rights and obligations under these Terms without restriction or notification.

15.5 Survival

The following provisions shall survive termination of your account or these Terms: Intellectual Property, User-Generated Content licenses, Limitation of Liability, Disclaimers, Indemnification, Dispute Resolution, Governing Law, and any other provisions that by their nature should reasonably survive termination.

15.6 Force Majeure

Globly shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, internet service provider failures, or equipment failures.

15.7 Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, employment, agency, or franchise relationship between you and Globly. Neither party has authority to bind the other or to incur obligations on the other’s behalf.
